1. Agreement to These Terms

These Terms of Use ("Terms") are a legal agreement between you and Innotent LTD ("Innotent", "we", "us", or "our"), a company registered in Israel, governing your use of the App.

By downloading, installing, accessing, or using the App, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

It is your responsibility to read these Terms and the Privacy Policy before using the App or any of its features, and to review them periodically for updates. If you do not agree to these Terms, do not download, access, or use the App.

2. Eligibility and Age Requirements

The App is intended for a general audience. Its App Store age rating of 4+ reflects that the App does not contain objectionable content. It does not mean that the App is designed for or directed at children.

Because the identification feature (as defined in section 4) involves taking or selecting photos and transmitting them to our servers and to third-party AI service providers, you must be at least 18 years old to use the identification feature, or at least 13 years old with the permission and supervision of a parent or legal guardian. Children under 13 must not use the identification feature.

If you are under 18 (or the age of legal majority where you live), you may use the App only with the involvement of a parent or legal guardian who has reviewed and agreed to these Terms on your behalf. Parents and legal guardians are responsible for supervising their children's use of the App and for any purchases made on their devices.

By using the App, you represent that you meet these requirements and that you have the legal capacity to enter into these Terms.

3. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. If we make material changes, we will provide notice as required by applicable law, for example through a notice in the App.

Your continued use of the App after the updated Terms take effect means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the App and cancel any active subscription.

4. The App and Its Features

The App provides tools for exploring gems, rocks, crystals, and minerals, which may include:

  • Stone identification: AI-based identification of a stone from a photo;
  • Valuation: estimated values or value ranges for stones;
  • Authenticity check: AI-based assessment of whether a stone may be natural, synthetic, treated, or a simulant;
  • Stone gallery: images of stones and related specimens;
  • Stone information: data about stones, such as properties, formation, history, uses, and metaphysical or cultural meanings;
  • Metal detector: a tool that uses your device's magnetometer to detect magnetic fields;
  • History and collection: features for saving your results, stored locally on your device.

In these Terms, the "identification feature" means all of the App's photo-based features, including stone identification, valuation, and authenticity check.

Features may vary by App version, device, language, and subscription status, and we may add, change, or remove features at any time.

5. Accuracy of Results and Information

5.1 General

The App's results and content are generated automatically, in whole or in part by third-party artificial intelligence models, based on the photos and information you provide. AI can make mistakes, including confident-sounding mistakes. Accuracy depends on many factors, such as photo quality, lighting, angle, focus, background, the size and condition of the specimen, and the limits of the underlying AI models and data.

We do not guarantee that any result, value, assessment, image, or information provided by the App is accurate, complete, reliable, current, or suitable for any purpose. You use all results and information at your own risk.

The App's identification, valuation, authenticity check, stone gallery, and stone information are for general informational and entertainment purposes only. They are not a professional identification, appraisal, valuation, certification, or authentication. Do not rely on the App to buy, sell, insure, or price any stone, or to make any financial, safety, health, or legal decision.

5.2 Stone Identification May Be Wrong

The App may misidentify a stone, identify it only partially, confuse it with a similar-looking stone, or fail to identify it. Many gems, rocks, crystals, and minerals look alike and cannot be reliably told apart from a photo alone. Reliable identification often requires physical and laboratory testing, such as hardness, specific gravity, refractive index, spectroscopy, or microscopic examination.

5.3 Valuation May Be Wrong

Any value, price, or value range shown in the App is a rough, automated estimate only and may be wrong. Actual value depends on factors that cannot be reliably assessed from a photo, including correct identification, size, carat weight, color, clarity, cut, treatments, origin, rarity, condition, provenance, and market conditions, which vary by time and location.

Valuation estimates are not an appraisal, not an offer to buy or sell, and not a statement of market value. You must not use them for buying, selling, pricing, insurance, taxation, inheritance, divorce, lending, customs, or any other financial or legal purpose. For any such purpose, consult a qualified, certified appraiser.

5.4 Authenticity Check May Be Wrong

The authenticity check may be wrong. A photo cannot reliably determine whether a stone is natural, synthetic (lab-grown), treated (for example, heated, irradiated, dyed, coated, or fracture-filled), a simulant, or a composite. The App may label a genuine stone as fake or a fake stone as genuine.

The authenticity check is not a certification, grading report, or authentication. Do not rely on it to buy, sell, or accept any stone. For authentication, consult an accredited gemological laboratory or a qualified gemologist.

5.5 Stone Gallery May Be Wrong

The stone gallery may show images that are wrong, including images of a different stone than the one described or identified, mislabeled images, or images that are illustrative, representative, or generated rather than photos of the actual stone. Colors, sizes, and appearance may differ from real specimens and may vary by screen. Gallery images do not show your specimen and must not be used to confirm an identification, value, or authenticity.

5.6 Stone Data and Information May Be Wrong

Stone data and information in the App, including names, classifications, chemical composition, physical properties, formation, locations, history, and uses, may be inaccurate, incomplete, outdated, or not applicable to your specific specimen. Properties can vary significantly between specimens of the same stone.

Any metaphysical, spiritual, healing, energetic, or cultural meanings of stones are presented as folklore, tradition, or belief. They are not scientifically proven and are provided for entertainment and cultural interest only. They are not medical, psychological, or health advice. Do not use stones or crystals, or any information in the App, to diagnose, treat, cure, or prevent any health condition, and do not delay or avoid seeking professional medical care because of anything in the App.

5.7 Metal Detector

The metal detector feature uses your device's magnetometer, which measures magnetic fields. It is not a professional metal detector. It may not detect many metals (including non-magnetic metals such as gold, silver, copper, and aluminum), may give false readings, and may be affected by interference from electronics, magnets, phone cases, and the surrounding environment. Results vary by device.

Do not use the metal detector to locate electrical wiring, pipes, cables, utilities, explosives, or any hazardous object, or for any safety-related purpose.

5.8 No Professional Advice

Nothing in the App constitutes professional gemological, geological, appraisal, financial, investment, legal, medical, or safety advice. Before making any decision that matters to you, verify information independently and consult a qualified professional.

5.9 Safety When Handling and Collecting Stones

Some rocks and minerals can be hazardous. For example, some are toxic, radioactive, contain asbestos fibers, or release harmful dust. The App does not tell you whether a specimen is safe. Do not lick, taste, or ingest stones, do not inhale dust from cutting or grinding them, do not place stones in drinking water or food (for example, to make "gem elixirs"), and wash your hands after handling unknown specimens. Keep specimens away from young children and pets.

If you collect stones outdoors, you are solely responsible for your own safety and for complying with all applicable laws, including laws on private property, trespassing, protected areas, national parks, collecting permits, and the export or sale of natural materials.

5.10 Your Responsibility

You are solely responsible for how you use the App's results and information and for any decisions you make based on them. You must not present App results to others as a certification, appraisal, grading report, or authentication, or use them to misrepresent the identity, value, or authenticity of any stone.

6. Your Photos and Content

You keep all rights you have in the photos you submit to the App ("User Content"). You grant us, and our service providers acting on our behalf, a worldwide, non-exclusive, royalty-free license to transmit, process, and analyze your User Content solely to provide the App's features to you. How we handle User Content is described in our Privacy Policy.

You represent that you have all rights necessary to submit your User Content and that it does not violate any law or the rights of any third party. Please submit only photos of stones and similar objects. Do not submit photos that contain people, faces, documents, or other personal or sensitive information, and do not submit unlawful, offensive, or infringing content. You are solely responsible for your User Content.

Subject to these Terms, you may use the results the App generates for you for your personal, non-commercial purposes.

7. Acceptable Use

You agree not to:

  • Use the App for any unlawful, fraudulent, or harmful purpose;
  • Use App results to deceive or defraud others, including in any sale, purchase, or trade of stones;
  • Copy, modify, distribute, sell, lease, or create derivative works of the App or its content, except as permitted by law;
  • Reverse engineer, decompile, disassemble, or attempt to extract the source code of the App, except to the extent permitted by applicable law;
  • Circumvent, disable, or interfere with any security, payment, subscription, or access-control feature of the App;
  • Use bots, scripts, scraping, or other automated means to access the App or submit requests, or send an excessive number of requests;
  • Interfere with or disrupt the App, our servers, or our service providers;
  • Submit malicious code or content designed to manipulate the App's AI systems;
  • Use the App or its results to build or train a competing product or AI model;
  • Violate any applicable law or the rights of others.

We may restrict, suspend, or terminate your access to the App if we reasonably believe you have violated these Terms.

8. Subscriptions and In-App Purchases

8.1 Payments

Some features require a paid subscription or a one-time purchase ("Premium"). All purchases are made through Apple's App Store and are subject to Apple's terms and policies. Payment is charged to your Apple Account when you confirm the purchase. Prices are shown in the App and on the App Store and may vary by country and change over time.

8.2 Auto-Renewing Subscriptions

  • Subscriptions renew automatically at the end of each subscription period (for example, weekly or yearly) unless you cancel at least 24 hours before the end of the current period.
  • Your Apple Account will be charged for renewal within 24 hours before the end of the current period, at the then-current price.
  • You can manage or cancel subscriptions in Settings > [your name] > Subscriptions on your device, or in the App Store. Cancellation takes effect at the end of the current period.
  • Deleting the App does not cancel your subscription.

8.3 Free Trials

If a free trial is offered, it will automatically convert into a paid subscription at the end of the trial period unless you cancel at least 24 hours before the trial ends. Any unused portion of a free trial is forfeited when you purchase a subscription, where applicable.

8.4 Lifetime Purchases

A "Lifetime" purchase is a one-time payment that gives you access to the Premium features included in it for as long as we continue to offer the App and those features. "Lifetime" refers to the lifetime of the App and its features, not your lifetime. A Lifetime purchase is tied to the Apple Account used to make it.

8.5 Refunds

All payments are processed by Apple, and we cannot issue refunds, cancel purchases, or access your payment information. Refund requests must be submitted to Apple in accordance with Apple's policies, for example at reportaproblem.apple.com. Except as required by applicable law or Apple's policies, payments are non-refundable.

8.6 Restoring Purchases

You can restore eligible purchases on a device signed in to the same Apple Account by using the "Restore Purchases" option in the App.

8.7 Changes to Premium

We may change the features included in Premium, change prices, or change the subscription options we offer. Price changes for existing subscriptions will be handled in accordance with Apple's policies and applicable law.

9. License to Use the App

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App for your personal, non-commercial purposes on Apple-branded devices that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.

10. Intellectual Property

The App and all of its content, features, and functionality, including software, design, text, graphics, images, databases, trademarks, and logos, excluding your User Content, are owned by Innotent or its licensors and are protected by intellectual property laws. Except for the limited license in section 9, no rights are granted to you. All rights not expressly granted are reserved.

If you send us feedback or suggestions, we may use them without any obligation to you.

11. Third-Party Services

The App relies on third-party services, including Apple, Google Cloud Platform, Google Firebase, RevenueCat, OpenAI, and Anthropic. Your use of the App may be subject to the terms and policies of these third parties. We are not responsible for third-party services, their availability, or their content, and we do not control them.

The App may contain links to third-party websites or services. We are not responsible for their content or practices.

12. Availability, Changes, and Termination

We may modify, suspend, or discontinue the App or any feature, in whole or in part, at any time, with or without notice. The App depends on internet connectivity, our servers, and third-party services, and may be unavailable, slow, or interrupted at times. We do not guarantee that the App will be available at any particular time or location, or that it will be compatible with every device or operating system version.

You may stop using the App at any time by deleting it. We may suspend or terminate your access to the App at any time if you violate these Terms or if required by law. Sections of these Terms that by their nature should survive termination will survive, including sections 5, 6, 10, and 13 through 19.

Data stored locally on your device, such as your history and collection, may be lost if you delete the App, change devices, or if the App is updated or discontinued. You are responsible for keeping any information you want to preserve.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP AND ALL RESULTS, CONTENT, AND INFORMATION PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE ABOVE, WE DO NOT WARRANT THAT: (A) ANY IDENTIFICATION, VALUATION, AUTHENTICITY CHECK, GALLERY IMAGE, OR STONE INFORMATION WILL BE ACCURATE, COMPLETE, OR RELIABLE; (B) THE APP WILL MEET YOUR REQUIREMENTS; (C) THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; OR (D) ANY DEFECTS WILL BE CORRECTED.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In that case, such warranties are limited to the minimum extent and duration permitted by law.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL INNOTENT, ITS AFFILIATES, OR ITS OR THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THE APP OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE ABOVE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE ARE NOT LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM: (A) ANY INCORRECT IDENTIFICATION, VALUATION, AUTHENTICITY CHECK, GALLERY IMAGE, OR STONE INFORMATION; (B) ANY PURCHASE, SALE, TRADE, INSURANCE, PRICING, OR OTHER DECISION MADE IN RELIANCE ON THE APP; (C) ANY HANDLING, COLLECTING, OR USE OF STONES OR MINERALS; (D) ANY USE OF METAPHYSICAL OR HEALING INFORMATION; (E) ANY USE OF THE METAL DETECTOR; OR (F) ANY THIRD-PARTY SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE APP OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE APP AND IN-APP PURCHASES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS (USD 50).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, such as liability for death or personal injury caused by negligence, for fraud, or for gross negligence or willful misconduct where such limitation is prohibited.

15. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Innotent, its affiliates, and its and their directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to: (a) your use or misuse of the App; (b) your User Content; (c) your violation of these Terms; (d) your violation of any law or the rights of any third party; or (e) any use of App results in dealings with third parties, including any sale, purchase, or trade of stones.

16. Apple App Store Terms

If you downloaded the App from Apple's App Store, the following terms also apply:

  1. Acknowledgement: These Terms are between you and Innotent only, and not with Apple Inc. ("Apple"). Innotent, not Apple, is solely responsible for the App and its content. These Terms may not provide for usage rules that conflict with the Apple Media Services Terms and Conditions in effect on the date you accept these Terms.
  2. Scope of License: The license granted to you is limited to a non-transferable license to use the App on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing, where supported.
  3. Maintenance and Support: Innotent is solely responsible for providing any maintenance and support services for the App, as specified in these Terms or as required by applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services for the App.
  4. Warranty: Innotent is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App, if any, to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Innotent's sole responsibility, to the extent not effectively disclaimed.
  5. Product Claims: Innotent, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation. These Terms do not limit Innotent's liability to you beyond what is permitted by applicable law.
  6. Intellectual Property Rights: In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Innotent, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
  7. Legal Compliance: You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
  8. Developer Name and Address: Questions, complaints, or claims regarding the App should be directed to Innotent LTD, Yachin 4, Ramat Gan, Israel, innotent.ltd@gmail.com.
  9. Third-Party Terms: You must comply with applicable third-party terms of agreement when using the App.
  10. Third-Party Beneficiary: Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

17. Governing Law and Disputes

These Terms and any dispute arising out of or related to them or the App are governed by the laws of the State of Israel, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to section 18, the competent courts in Tel Aviv-Jaffa, Israel, will have exclusive jurisdiction over any such dispute, and you consent to the personal jurisdiction of those courts.

Before starting any legal proceedings, you agree to first contact us at innotent.ltd@gmail.com and try to resolve the dispute informally for at least 30 days.

To the maximum extent permitted by applicable law, any dispute will be resolved on an individual basis only, and you waive any right to bring or participate in a class action, collective action, or representative proceeding against Innotent.

To the maximum extent permitted by applicable law, any claim arising out of or related to these Terms or the App must be brought within one (1) year after the claim arises; otherwise, it is permanently barred.

18. Consumers in the EU, UK, and Other Jurisdictions

If you are a consumer residing in the European Union, the United Kingdom, or another jurisdiction whose laws give you mandatory consumer protection rights, nothing in these Terms limits those rights. The choice of Israeli law does not deprive you of the protection of mandatory provisions of the law of your country of residence, and you may also bring proceedings in the courts of your country of residence where required by law.

Purchases are made through Apple, and Apple's terms, including any applicable right of withdrawal and refund policies, apply to them. Where applicable law provides a right of withdrawal for digital content, you acknowledge that by starting to use Premium features immediately after purchase, you request immediate performance and, where permitted by law, lose that right of withdrawal.

Where applicable law does not permit a particular disclaimer or limitation in these Terms, that disclaimer or limitation applies only to the extent permitted by that law.

19. General Terms

  • Entire Agreement: These Terms and the Privacy Policy are the entire agreement between you and Innotent regarding the App.
  • Severability: If any provision of these Terms is found invalid or unenforceable, it will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms, including in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages of third-party services, internet failures, natural disasters, war, hostilities, terrorism, or government actions.
  • Language: These Terms may be made available in other languages. If there is any inconsistency between the English version and a translated version, the English version prevails to the extent permitted by applicable law.
  • Headings: Headings are for convenience only and do not affect the interpretation of these Terms.
